Agreement to terms

By accessing or using the Atlas delivery platform operated by Dlvwy ("we", "us", or "our"), including our WhatsApp ordering service, vendor portal, rider portal, and marketing website (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Services.

Description of service

Atlas is a delivery marketplace that connects customers with vendors (restaurants, stores, and other businesses) through WhatsApp-based conversational ordering, and coordinates delivery through our rider network. We act as an intermediary facilitating transactions between customers and vendors. We are not the seller of the goods or services provided by vendors.

Eligibility

You must be at least 18 years old to use our Services. By using the platform, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these terms.

Customer terms

• Orders placed via WhatsApp are binding once confirmed and paid for
• You are responsible for providing accurate delivery information, including your address and phone number
• Delivery times are estimates and may vary based on vendor preparation time, rider availability, and other conditions
• Cancellation may be available depending on the order status; orders already being prepared or in transit may not be cancellable
• Refunds for quality issues are handled on a case-by-case basis; please contact support promptly if you experience a problem
• You agree not to misuse our messaging services or engage in abusive behaviour towards vendors, riders, or our support team

Vendor terms

• Vendors are responsible for the accuracy and completeness of their menu information, pricing, and availability
• Orders accepted through the platform must be prepared and made available for pickup in a timely manner
• Vendors must comply with all applicable food safety, health, business licensing, and regulatory requirements
• Payout schedules, commission rates, and service fees are defined in individual vendor agreements
• Vendors grant us permission to display their business name, menu items, and related information on the platform
• We reserve the right to suspend or remove vendor accounts that violate these terms or receive consistent negative feedback

Rider terms

• Riders operate as independent contractors, not employees of Dlvwy
• Riders must maintain valid identification, appropriate vehicle documentation, and any required permits or licences
• Deliveries must be completed within reasonable timeframes and handled with care
• Riders are responsible for safe handling and transportation of orders
• Rider payouts are based on completed deliveries and are processed according to the agreed schedule
• We reserve the right to suspend or deactivate rider accounts for violations of these terms, safety concerns, or failure to meet service standards

Payments and pricing

Prices displayed on the platform are set by vendors and may include applicable taxes and fees. Delivery fees, service charges, and any other platform fees will be clearly communicated before you confirm your order. Payments are processed securely through our payment partners (Paystack and Stripe). We do not store your full payment card details.

Intellectual property

All content, features, and functionality of our Services — including text, graphics, logos, software, and the Atlas brand — are owned by Dlvwy and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from our content without our prior written consent.

Prohibited conduct

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Interfere with or disrupt the operation of the Services
• Attempt to gain unauthorised access to any part of the Services
• Use automated systems or software to extract data from the Services without our consent
• Engage in abusive, threatening, or harassing behaviour towards other platform users

Limitation of liability

Atlas facilitates connections between customers, vendors, and riders. To the maximum extent permitted by law:

• We are not liable for the quality, safety, or legality of goods or services provided by vendors
• We are not liable for incidents that occur during delivery, including damage, loss, or personal injury
• We are not liable for delays caused by factors beyond our reasonable control
• Our total liability for any claim arising from the use of our Services shall not exceed the amount you paid for the specific order in question

Indemnification

You agree to indemnify and hold harmless Dlvwy, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Services, violation of these terms, or infringement of any third-party rights.

Dispute resolution

We encourage you to contact us first to resolve any disputes informally. If a dispute cannot be resolved through direct communication, it shall be governed by the laws of the jurisdiction in which Dlvwy is incorporated, and any legal proceedings shall be brought in the courts of competent jurisdiction in that location.

Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services ceases immediately. Any provisions of these terms that by their nature should survive termination shall continue to apply.

Changes to terms

We may update these Terms of Service from time to time. We will notify you of material changes through our Services or by other appropriate means. Continued use of the platform after changes take effect constitutes acceptance of the updated terms. The "Last updated" date at the top of this page indicates when these terms were last revised.
